About Giuseppe Castagna

Giuseppe Castagna, Chief Executive Officer of Banco BPM, has commented on the bank's position regarding recent regulatory decisions and market consolidation. In April 2025, Castagna stated that the bank had been subject to "unexpected decisions" regarding the "mancato riconoscimento del compromesso animo," which he said impacted a reduction of one billion euros in distribution to shareholders. He declined to comment on the implications of these decisions for Unicredit, stating that Unicredit must determine how they affect its valuation of Banco BPM. Castagna noted that the bank would continue to pursue growth paths consistent with its strategic line, but would not consider operations solely for the sake of becoming larger. Castagna has also addressed the bank's performance and market perception. He said that despite a strong track record of meeting or exceeding targets, the market requires time to fully value the bank's stock. He expressed confidence in the bank's potential following its industrial plan and the acquisition of Anima, and stated that the bank would wait for quarterly results to increase its value. In earlier appearances, Castagna discussed the bank's role in supporting the economy, the importance of digitalization and branch-based advisory services, and the need for a cohesive European approach to economic policy. He has also spoken about the bank's derisking plan and the sale of non-performing loans, describing the market for such assets as mature.

We have never commented on the decisions, let's say, of the authorities that have intervened in this period. You know that we too have been the subject of unexpected decisions, such as the failure to recognize the commitment of Anima, and we took note and moved on, clarifying what the figures were, the new numbers that essentially impact a billion less in distribution to our shareholders. Likewise, there is no need to comment, evidently, on what applies to Unicredit's numbers, and Unicredit must say whether these decisions in some way make possible or not, or impact as value, let's say, the value intention that they attribute to our part. For us it is a bit complicated because these numbers, as we also said in the assembly, a decree does not have a clear industrial plan, evident or explained to the market, it has guidance, ambitions to which the impact of the various decisions of the GdL and Power is not easily attributable. I think their main concern is whether they can continue to have a remuneration for their shareholders in line with what has been done in recent years. It is difficult to make market forecasts. In the last 6 months we have seen things that we humans did not think we could see in a lifetime, so it is very complicated.
I say that sticking to the industrial logic, the strategic positioning, the idiosyncratic characteristics of one's bank, of one's company, because let's be honest, we are companies that must have industrial projects. We think we have a very valid project standing around nine, everything has been unleashed. We will see what the outcome will be, first of all for us and then for others. Certainly with the potential we have announced with our industrial theme and with the acquisition of Anima, I think we will continue to be protagonists of any growth paths, provided that these are, let's say, consistent with our strategic line. We are not thinking of operations just to become bigger. We see the market, how many banks will it be composed of at the end of this wave of operations. We will see what the most suitable placement is because it certainly has all the cards to play from the point of view and which, I repeat, the offer of a credit amount.
The first operation was due to the very logic in which we had launched the week after the operation on Anima we had adhered precisely to the purchase of the percentage of Monte Paschi by the MEF. We were interested precisely in developing ever greater synergies with Monte Paschi. It seemed right to us, in short, to support the operation to make synergy even more possible. What has changed? What has changed is precisely the new operation of Mediobanca. I would say it is a bit early to draw the consequences. There are assemblies that must pronounce on these operations, so we have all the time to have a clearer picture of the situation.
I only say that from an industrial point of view, certainly if Venturaschi found itself inside Generali, it would be a certain something, but that is an observation of an industrial nature, not of a political nature or of what I like or don't like. Having an asset manager of that size, a distributor of products with a financial network, can certainly only be of greater interest from an industrial point of view.
As for all industrial plans, we have, I think, explained it in the presentation already made, but we will explain it with the quarterly results in a week. Every time we have presented a plan, it took time for the market to appreciate what the result of the plan was. Clearly, rightly, you also have to have such a strong track record, so robust of promises kept, commitments made and exceeded, the need to anticipate the new business plan because with one or two years in advance the objectives planned for 2023 had already been achieved. Despite this, evidently, it takes a bit of time for the market to give you the value that you believe your bank can have. It is a normal market dynamic that we know exists. At this moment we think there is enormous space to reach our numbers and instead we feel absolutely capable of the numbers we have presented and therefore rightly we would like to wait for the full valuation of the stock, for the market to take the time through results of the first quarter, second quarter to increase the value of our bank.
